Terms of Service

Effective: June 4, 2026

These Terms govern your use of the Pickspace property management platform, AI features, CRM, chatbot, payments, mobile applications, and integrations.

1. Acceptance of Terms

These Terms of Service (the "Terms") form a binding agreement between you and Pickspace Ltd. ("Pickspace", "we", "us"). By accessing or using the Pickspace platform, websites, mobile applications, AI features, chatbot, CRM, payment services, and related offerings (collectively, the "Platform"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Platform. The Platform is available only to individuals 13 years or older with the legal capacity to enter into this agreement.

2. Platform Services

Pickspace provides cloud-based property management software for commercial, residential, coworking, and mixed-use real estate, along with AI-powered tools, a chatbot assistant, CRM and lead-management functionality, mobile applications, third-party integrations, and integrated payment facilitation between property managers, owners, and tenants. We may modify, add, remove, or discontinue features at our discretion. Some features are free; others require a paid subscription.

3. User Accounts

To use most features you must create an account or be invited by an account administrator. You are responsible for keeping your credentials confidential, for all activity that occurs under your account, and for ensuring that your account information remains accurate. Notify us immediately of any suspected unauthorized access.

4. Subscription Terms

Paid subscriptions are billed in advance on a monthly or annual basis according to the plan you select. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. We may change pricing or plan inclusions with reasonable prior notice; changes take effect at the next renewal.

5. Billing & Payments

You authorize Pickspace and our payment providers (such as Stripe and Worldpay) to charge the payment method on file for all applicable fees, taxes, and surcharges. As a payment facilitator we use tokenization so that sensitive payment credentials are stored only with regulated providers, not on Pickspace systems. Failed payments may result in suspension or termination of paid features.

6. Acceptable Use Policy

You agree not to, and not to permit anyone else to:

  • Use the Platform for any unlawful, fraudulent, or harmful purpose
  • Violate the privacy or rights of any other user
  • Scrape, crawl, or extract data from the Platform other than through functionality we have explicitly enabled
  • Interfere with, disrupt, or attempt to gain unauthorized access to any Pickspace system, network, or other user's account
  • Upload viruses, malware, or other harmful code
  • Misuse the AI features or chatbot — including attempting to extract our system prompts, abuse rate limits, or generate content that violates law or third-party rights
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform
  • Resell, sublicense, or commercially redistribute the Platform without a written agreement with us

Violations may result in suspension, termination, and legal action.

7. Data Ownership

You retain ownership of the data, documents, records, and content you submit to the Platform ("Customer Data"). You grant Pickspace a worldwide, non-exclusive, royalty-free license to host, process, transmit, copy, and display Customer Data solely to provide, maintain, secure, and improve the Platform and to perform our obligations under these Terms.

8. Customer Content

You represent and warrant that you have all rights, consents, and authorizations necessary to submit Customer Data to the Platform and that doing so does not violate any law or third-party right. You are solely responsible for the accuracy and lawfulness of Customer Data, including all tenant, lease, financial, and personal information.

9. Intellectual Property

The Platform, including all software, design, branding, content, and documentation, is owned by Pickspace or its licensors and is protected by intellectual property laws. These Terms grant you a limited, revocable, non-transferable license to use the Platform solely as intended. All rights not expressly granted are reserved. Feedback you provide may be used by Pickspace without restriction or compensation.

10. AI Features & Automated Recommendations

Pickspace provides AI-powered tools, recommendations, automations, summaries, classifications, forecasting, chatbot interactions, reporting assistance, and operational suggestions (collectively, "AI Features"). These AI outputs are assistive tools only.

Pickspace does not guarantee the accuracy, completeness, suitability, or fitness of AI-generated outputs. Customers remain solely responsible for reviewing, validating, and approving any business, legal, financial, operational, leasing, accounting, property-management, maintenance, tenant-related, or investment decisions.

AI-generated outputs should not be considered legal, financial, accounting, tax, investment, or professional advice. The customer remains responsible for all final decisions and actions taken on the basis of AI Features.

11. Third-Party Integrations

The Platform may integrate with third-party services such as payment processors, accounting systems, CRM connectors, communication tools, analytics, identity providers, and AI providers. Your use of those services is governed by their own terms and privacy policies. Pickspace is not responsible for the availability, performance, security, or content of third-party services.

12. Service Availability

We work to maintain high availability of the Platform but do not guarantee uninterrupted, secure, or error-free operation. We may perform scheduled maintenance, push security updates, or temporarily suspend access to address operational or security issues. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, Pickspace and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Platform — even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Platform is limited to the greater of (a) the amounts you paid Pickspace in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Pickspace and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Platform, your Customer Data, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

You may stop using the Platform at any time. We may suspend or terminate your account or these Terms at any time for material breach, suspected fraud, security risk, or as otherwise permitted by law. Upon termination, your right to use the Platform ends and provisions intended to survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue.

16. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Local mandatory consumer protections continue to apply where required.

17. Dispute Resolution

The parties will first attempt to resolve any dispute informally by contacting us. If a dispute cannot be resolved, it will be heard in the competent courts located in New York, New York, USA, to whose personal jurisdiction and venue you consent. Pickspace may additionally seek injunctive relief in any court of competent jurisdiction.

18. Refund Policy

Subscription fees are generally non-refundable except as required by law or as expressly stated in your order form. Refund requests are reviewed on a case-by-case basis. Refunds, where granted, are returned to the original payment method; processing times depend on your financial institution. Pickspace assists with refund requests but does not control the underlying payment-processor timelines.

These Terms supersede any prior agreements with respect to their subject matter, except where a signed order form or master services agreement with Pickspace expressly takes precedence.
